Terms & Conditions
1. About these terms
These terms apply between Groundly ("Groundly", "we", "us") and the business that subscribes to Groundly ("you", "the client"). They also cover anyone using groundly-ai.com (see section 13). By placing an order, paying an invoice or installing the Groundly widget, you agree to these terms. If an order form or signed agreement conflicts with these terms, the order form or agreement takes priority.
2. The service
Groundly is a managed AI website assistant. We:
- collect and structure the published content you approve from your website, and use it as the assistant's only source of knowledge;
- agree with you which topics the assistant answers, which it always hands off, and where it sends visitors (such as your booking page, contact form or phone number);
- provide an embeddable widget installed with a single script tag and a website key unique to your site;
- keep anonymous conversation records so answers can be reviewed for quality and safety.
Each plan covers one website unless we agree otherwise in writing.
3. No professional advice
Groundly does not provide medical, legal, financial or other professional advice, and is designed to hand those questions to you. It shares general information from your own published content only.
Groundly uses safeguards to keep answers within the agreed scope, including citations to your published pages and server-side checks against your content. However, AI systems can still make mistakes, and no safeguard is perfect. You remain responsible for the services and advice you provide to your customers, and for how you use the assistant on your site.
The widget displays a persistent disclaimer. You must not remove, hide or obscure it.
The assistant can share prices only as they appear on your website, and always with a note that final costs are confirmed by your team. Nothing the assistant says creates a price guarantee, booking or commitment on your behalf.
4. Your content and scope
- You confirm that you own or have the right to use the content you ask us to include, and that it is accurate and lawful.
- You're responsible for keeping your published content up to date and for telling us when it changes, so we can update the assistant's knowledge.
- The assistant's scope and handoff rules are agreed during setup and then locked. Changes are made with you, not through self-service edits, so the boundary stays consistent and reviewable.
- You must have a privacy notice on your website that covers your use of the assistant.
5. Plans, fees and billing
- Plans. Plans are billed monthly and include a set number of messages each month, as shown on our pricing page or in your order.
- No setup fee. We don't charge a setup fee for the managed build.
- Founding client pricing. Founding prices are offered for a limited time and apply for the period stated in your order. After that period, the list price for your plan applies.
- Going over your plan. If you use more messages than your plan includes, the assistant keeps working. Extra messages are charged at $20 per 1,000 messages, and we may suggest a larger plan if this happens regularly.
- Invoices. We issue an invoice at the end of each billing period for your plan fee plus any extra messages. Invoices are payable within 7 days by bank transfer or another method we agree with you.
- Currency and tax. Prices are in US dollars and exclude any applicable taxes.
- Price changes. We'll give you at least 30 days' notice before changing the price of your plan.
- Late payment. If an invoice remains unpaid after we have reminded you, we may pause the assistant on your site until it is paid. A paused assistant shows a notice to visitors rather than disappearing.
6. Acceptable use
You agree not to, and not to let others:
- use Groundly for anything unlawful, misleading or harmful;
- try to make the assistant give advice or answers outside its agreed scope, or bypass its safeguards;
- use the assistant to collect sensitive personal data from visitors;
- copy, reverse engineer or resell the Groundly service or widget, except as the law allows;
- use another business's website key, or interfere with or overload our systems.
7. Data protection
For conversations on your website, you are the controller and we are your processor. We process conversation data only to provide the service and on your documented instructions, under a data processing agreement that forms part of these terms. Our Privacy Policy explains how the assistant handles data, including that it doesn't collect visitor emails, phone numbers or IP addresses in conversation records.
8. Intellectual property
You keep all rights in your content. You give us a non-exclusive licence to use it only to provide the service to you. We keep all rights in Groundly, including the software, widget, prompts and processes. If you share feedback, we may use it to improve Groundly without obligation to you.
9. Availability and changes
We work to keep Groundly available and reliable, but we don't guarantee uninterrupted service unless we agree a service level in writing. We may update the service, including the AI models and providers we use, provided the changes don't reduce the core safeguards described in these terms.
10. Confidentiality
Each of us will keep the other's non-public business information confidential and use it only for the purposes of this agreement, except where disclosure is required by law.
11. Term and termination
- Your subscription continues month to month until cancelled.
- You can cancel by giving us 30 days' written notice. Cancellation takes effect at the end of the billing period in which notice takes effect.
- We may suspend or end the service if you materially breach these terms and don't fix the breach within a reasonable time after we notify you.
- When the service ends, the widget stops working on your site and we delete conversation records in line with our retention commitments, unless the law requires us to keep them.
12. Warranties and liability
Except as set out in these terms, the service is provided "as is", and we exclude all other warranties to the extent the law allows.
Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue or goodwill. Our total liability under these terms in any 12-month period is limited to the fees you paid us in that period.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
13. Using this website
The content on groundly-ai.com is for general information about Groundly. The example conversations shown are illustrative and use fictional businesses. We may change or remove website content at any time.
14. Changes to these terms
We may update these terms from time to time. We'll post the new version here with a new effective date and tell clients about significant changes before they take effect.
